1. Acceptance of Terms

By accessing or using the Noria platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Service Description

Noria is a clinical workflow platform that integrates with Electronic Health Record (EHR) systems to provide patient data aggregation, AI-assisted handoff generation, and task management for licensed healthcare professionals. The Service is intended as a clinical decision support tool and does not replace professional medical judgment.

3. User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to use the Service only in compliance with applicable laws, including HIPAA, and your organization's policies. You must review all AI-generated content before clinical use.

4. Intellectual Property

The Service and its original content, features, and functionality are owned by Noria Health, Inc. and are protected by copyright, trademark, and other intellectual property laws. Your clinical data remains the property of you and your healthcare organization.

5. HIPAA & Protected Health Information

Noria acts as a Business Associate under HIPAA. We will enter into a Business Associate Agreement (BAA) with each covered entity prior to accessing PHI. We implement administrative, physical, and technical safeguards as required by the HIPAA Security Rule, including AES-256 encryption at rest and TLS 1.3 in transit.

6. Disclaimers

The Service is provided “as is” without warranties of any kind. Noria does not provide medical advice, diagnosis, or treatment. AI-generated content is intended as a starting point for clinical decision-making and must be reviewed and validated by a licensed healthcare professional before use.

7. Limitation of Liability

To the maximum extent permitted by law, Noria Health, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by your organization for the Service in the twelve months preceding the claim.
